Response from OSC

Thought I would share what I received from Ontario Securities Commission after contacting Juliet Persuad when her contact info was shared in this thread. (I respect all the great comments in this thread, but feel we should also start reaching out to all GZT mastery students, and others affected by GZT to build a list for a class action lawsuit against Sean Kozak and GZT. Any lawyers at futures.io? I was also going to wait for the right moment, but don't think it will ever come - has there been discussion of how to get the indicators we paid thousands of dollars for to be ported over to NT 8? I saw DocR's statement that if the indicators were open source, then they could be ported over by others to NT 8).

Thank you for your complaint to the Ontario Securities Commission (OSC) concerning Golden Zone Trading (GZT) and Sean Kozak.

OSC's Role

The OSC administers and enforces Ontario securities law. One of the ways in which the OSC protects Ontario investors is to require those in the business of trading or advising in securities in Ontario to be registered with the OSC in the proper category.

Sean Kozak and GZT are not registered to trade or advise in securities in Ontario.

The U.S. Securities Commission and Exchange Commission (SEC)

Even if they were registered, a registration in Ontario does not permit the company to provide investment dealing services to clients who reside outside Ontario. Also, a company in the business of dealing or advising in securities, would generally have to comply with the securities laws in the jurisdiction where the investor resides.

As a resident of the United States, you should consider contacting the SEC if you have not done so already. Their contact information can be found on their website : www.sec.gov.

Enforcement Matters

The information you provided will be forwarded to the Enforcement branch of the OSC for further review.

Enforcement staff review matters against a set of criteria to determine, among other things, whether there may be a potential breach of Ontario securities law, the magnitude of that potential breach, the available evidence, the likelihood of success were the matter to proceed, and the investigative value of the matter. No single factor is necessarily determinative, and each matter is also assessed against our available resources.

OSC staff do not generally comment on the existence, status, or nature of an investigation. The purposes of this practice are to protect the integrity of investigations, to ensure the complaint process is not used to affect the market and to promote fairness towards those who are the subject of investigations.

If proceedings are taken and allegations are proven, the Commission may impose sanctions and penalties that are specified in the Securities Act (Ontario). Sanctions may include bans on future trading in securities, or acting as a director or officer of a company, and/or financial penalties.

Legal Advice

OSC staff may not provide legal advice. You may wish to consult with a lawyer in your jurisdiction for advice about possible remedies that may be available to you.

Sincerely,

Juliet Persaud

It is evident that the last few messages show anger, disdain and failure to respect others, as well as understanding legal issues involved in the failure of GZT to provide services to their customers.

Those of you that purchased software from GZT do KNOW me and I have dealt fairly with you by providing you stellar service, which was contracted by GZT to provide for their customers via my company. To be fair, GZT provided good service to customers to about December of 2016. The issues can not be disclosed as they are related to health and would fall under HIPAA rules for disclosure. This has to come from Sean Kozak and NOT from any of the contractors. To be clear, our hands are legally tied as to what we can say or disclose.

This forum thread has become a kangaroo court where non-facts are promulgated by those who do now know or think they know.

GZT was founded in 2015, for the purpose of selling NinjaTrader addons to the public. I was one of the first set of purchasers of the software, which was SDVolume Zones. I have worked for large software companies and my expertise with software, development, large scale deployments is something that was needed by GZT.
I was asked by Sean to consider tech support since I knew the software as well as him. My company, of which you have mis-associated and bismirched has been in business since 2007 with a great reputation. Please get your facts right.

I, indeed, due to the pressure of a large user base did have health issues and I did resign in January 2017. Due to the contractual nature of the original agreement I was to train another tech support person during a period of 90 days which was the minimum number of days I had to fulfill to end the contract. As of April 14, 2017 I no longer had any contractual obligation to GZT, but I am under non-disclosure as part of the agreement.

Soon after I left, Sean failed to provide guidance to the remaining contractors. Attempts were made to continue servicing customers but the contractors finally resigned as of June 15 due to failure of GZT management to provide guidance, support to the contractors. You see, contractors are not really employees and can not act on behalf of the company. Sean has not allowed for disclosure. -- so stop kicking the cat and go to the source of the problem. -- GZT and Sean Kozak.

I have suggested via Skype contact to GZT to release all the software as Open Source so that all the customers can continue to use the software without licensing requirement. No answer from GZT on this venue.

All in all, I too am frustrated and not the ogre you paint, or the crook you imply. The issue with Sean has not been evident until 2017. He can only disclose the health issue and not any of the contractors or associates.

This is my disclosure as to the contract with GZT.
RJ5 Group LLC was under contractual agreement from January 2015 to provide services to Golden Zone Trading ("GZT"). RJ provided Tech Support for installation, software development and installers as contractor from RJ5 Group LLC. RJ5 Group LLC exercised their option to terminate contract services on January 15, 2017. Due to contractual agreement, RJ remained as contractor for 90 days and provided guidance to new support contractors. The last day under contract to Golden Zone Trading was April 14, 2017. RJ5 Group LLC and its staff and contractors no longer provide any services to Golden Zone Trading and are not responsible to any services or lack of service requests from GZT customers. Any issues arising from customers of GZT should be directed to GZT as they are the owners of the software and have distribution rights to the GZT software indicators for NinjaTrader.

Had a quick look ... Could be recorded I think. Current bit seems to be revolved around the Print Profiler. Also he cant sell his software anymore as he has supposedly (??) been removed from Ninjatrader as a developer.

At best I think that means he may not be able to use the NT license feature, but it is doubtful to impact his ability to sell it. Only the ability to deliver it, perhaps.

Not sure who his payment processor is, but maybe they still have his account turned on.

Webinar Jam are recorded, not live.
Ordering is not processing, therefore no one can purchase products at this time.

As to licensing, it is done via NinjaTrader and their servers will continue to validate the license.

GZT

I have read this entire thread with interest as a couple of my trading friends purchased GZT and have been very concerned with recent developments. I myself, never purchased anything from GZT, thankfully. I did see some of his webinars. Sean is a very good salesperson.

I have been burned by other vendors and wasted money on things that did not work. Such is the path of learning to trade it seems.

People have been ripped off and are rightfully very angry. At the same time, some would appear to want to burn the house down because they found a stain on the wall.
As stated earlier your anger is properly directed at Sean Kozak and GZT. Other vendors such as Shark Indicators should not be tarnished because of Sean's bad business practices.

I own Bloodhound and Blackbird from Shark Indicators. If people go after them to hurt their business, then innocent traders like myself, who find their products helpful, may be damaged. SI develops and sells tools. That is all. They do not run rooms. They are separate and distinct from GZT. They have no culpability in the failure of GZT and I appreciate Jeremy Tang setting the record straight in this thread.

I think it is healthy for the trading community to go after charlatans with laser focus and expose them. But a laser is better than a shotgun. Not every person who ever had their name associated with a bad apple is thereby rotten by association. The proverb in this case does not apply.

I do not expect people will recover any money from GZT. When do they ever?
I hope for the sake of my friends and all who purchased GZT that he keeps the licensing open at NT for those who wish to continue to use the indicators.
Better yet, they will find better trading methods less dependent on indicators.
Full disclaimer: I am not in any way associated with any vendor or trading business. I am just a private trader and I only offer my personal opinion.
